Who operates the site and acceptance of the terms
sparklyx operates this website from the United Kingdom. By accessing or using the site you agree to these terms and conditions. If you do not agree you must stop using the site immediately. These terms form a binding contract between you and sparklyx under the laws of England and Wales.
Eligibility and permitted use
You must be at least 18 years old and have legal capacity to enter contracts. The site is intended for professional users in the media and broadcasting sectors. You may use the services only for lawful purposes related to professional video operation, live signal management, content distribution, camera work and the creation of high-quality feeds for news and television broadcasting. Personal or consumer use is not authorised.
Prohibited conduct
You must not attempt to interfere with the site, reverse engineer any software, upload malicious code, or use automated tools to scrape or harvest data. You must not transmit unlawful, defamatory or infringing material. Any breach may result in immediate suspension and legal action.
Accounts, submissions or user content
Where accounts or submissions are offered you are responsible for maintaining the confidentiality of your login details. Any content you submit must be original or properly licensed. You grant sparklyx a non-exclusive licence to use submitted material solely for the purpose of providing or improving the services. You may delete your account at any time but this does not affect licences already granted.
Ownership of site content, trademarks and permitted limited use
All text, graphics, video examples, technical specifications and other material on the site remain the property of sparklyx or its licensors. You may view pages for your own internal business use but you must not copy, reproduce or distribute any part without prior written consent. Trade marks and logos must not be used without permission.
Third-party services and links
The site may refer to third-party platforms, encoders, transmission services or content networks. Such references do not constitute endorsement and sparklyx accepts no responsibility for the availability, security or content of any third-party service.
Availability, changes, suspension and termination
sparklyx aims to keep the site available but does not guarantee uninterrupted access. We may modify, suspend or terminate any part of the services at any time for operational, legal or security reasons. You will be notified of material changes where reasonably practicable.
Disclaimers subject to mandatory consumer law
The site and services are provided on an as-is basis. To the extent permitted by law we exclude all implied warranties. Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under UK law including the Consumer Rights Act 2015.
Limitation of liability
Subject to the paragraph above, our total liability for any claim arising out of or in connection with these terms shall not exceed the total fees paid by you in the twelve months preceding the claim. We are not liable for indirect, incidental or consequential losses including loss of profit, data or business opportunity.
Indemnity
You agree to indemnify sparklyx against any claims, losses or expenses arising from your breach of these terms or from content you submit that infringes third-party rights.
Governing law, courts and consumer dispute rights
These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction except that consumers resident in the United Kingdom may bring proceedings in their local courts. Alternative dispute resolution is available through the Online Dispute Resolution platform where applicable.
Severability, waiver, changes, contact route and last-updated date
If any provision is found to be unenforceable the remaining provisions continue in full force. Failure to enforce any right does not constitute a waiver. We may update these terms from time to time; the current version will always be displayed on this page.
